Banner Jones advises on acquisition by global packaging specialist

Banner Jones’ Business Legal Services department has advised the shareholders of Chesterfield-based The Corrugated Case Company (CCC) in a major acquisition deal with the UK arm of the global packaging specialist, Tri-Wall.

CCC is a specialist designer and manufacturer of corrugated cardboard packaging. The company supplies innovative, design led packaging solutions to customers in a range of sectors including retail, food & drink, pharmaceutical and manufacturing.

Further to its acquisition with Tri Wall, a manufacturer of bespoke packaging solutions which forms part of the wider Tri Wall Group which is headquartered in Hong Kong, the business said it is now positioned as the ‘go-to’ supplier for all things packaging.

As part of the deal, Andrew Fielder from Banner Jones’ Business Legal Services department - supported by colleagues Tim Barley, Katie Ash and Sara Patel - advised the sellers on all aspects of the share disposal, and of the separate sale of the businesses trading premises.

Andrew commented:

“As longstanding clients of Banner Jones it was a pleasure to assist Tony and Mark with the sale of the business that they have worked so hard to develop. All of the professionals involved in the transaction worked very much in partnership, and I am sure that the business will continue to grow and succeed under Tri Wall’s ownership.”

BHP Corporate Finance (BHPCF) acted as lead advisor to the shareholders of The Corrugated Case Company Limited (CCC) on its acquisition by Tri Wall UK.

A BHPCF team led by Partner Kevin Davies and Assistant Director Declan Savage, ran a competitive sale process, working alongside colleagues from its global Translink Corporate Finance network. This ultimately resulted in Tri Wall being chosen as the preferred bidder.

Kevin Davies said:

"Tony and Mark have developed a fabulous business in CCC, which has been perfectly positioned to take advantage of the acceleration of the home delivery market and the “green agenda” shift away from plastic packaging. We are delighted to have delivered this transaction for them both and feel sure that CCC will continue to prosper under Tri Wall’s ownership.”

Tony Hession, Chairman of CCC, said:

"Having recently celebrated CCC's 25th birthday, we are immensely proud to be to be handing ownership over to Tri Wall. Throughout the acquisition process it’s been evident that the ethics, ethos and values of our businesses are completely aligned.”
